Welcome to Domi Cross-border B2B Platform ("Domi," "we," "us," or "our"). By accessing or using our website, mobile applications, and any related services (collectively, the "Platform"), you agree to be bound by these Terms & Conditions (the "Terms"). Please read these Terms carefully before using the Platform. If you do not agree to all of the Terms, you may not access or use the Platform.
For the purposes of these Terms: "Buyer" means any individual or entity that purchases products through the Platform. "Seller" means any individual or entity that lists and sells products through the Platform. "User" means any person who accesses or uses the Platform, including Buyers, Sellers, and visitors. "Products" means any goods, items, or merchandise listed for sale on the Platform. "Order" means a purchase request submitted by a Buyer through the Platform.
To access certain features of the Platform, you must register for an account. You agree to: (a) provide accurate, current, and complete information during registration; (b) maintain and promptly update your account information to keep it accurate; (c) maintain the security and confidentiality of your login credentials; (d) accept responsibility for all activities that occur under your account; and (e) immediately notify us of any unauthorized use of your account. We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, false, or misleading.
By using the Platform, you represent and warrant that: (a) you are at least 18 years of age or the age of majority in your jurisdiction; (b) you have the legal capacity to enter into a binding contract; (c) if registering on behalf of a business entity, you have the authority to bind that entity to these Terms; (d) you are not located in a country subject to comprehensive trade sanctions or embargoes; and (e) your use of the Platform does not violate any applicable laws or regulations in your jurisdiction.
Domi operates as an online B2B marketplace that connects Buyers and Sellers of furniture and related products. We provide the platform infrastructure, including product listing, order management, payment processing, and logistics coordination services. Domi is not a party to the actual transaction between Buyers and Sellers, and we do not take title to any products sold through the Platform except for N-Type (Self-operated) products.
As a Buyer, you agree to: (a) pay the full purchase price (including applicable taxes and shipping fees) for all Orders you place; (b) provide accurate shipping addresses and contact information; (c) inspect products upon receipt and report any issues within the specified timeframe; (d) comply with all applicable import/export laws and regulations; (e) not engage in fraudulent purchasing, chargeback abuse, or any attempt to circumvent Platform policies; and (f) communicate professionally and respectfully with Sellers and Platform support staff.
As a Seller, you agree to: (a) list products with accurate descriptions, specifications, pricing, and inventory levels; (b) fulfill Orders in accordance with stated shipping timeframes and methods; (c) comply with all applicable product safety, labeling, and quality standards; (d) honor the Platform's refund and return policies; (e) maintain adequate inventory to fulfill Orders; (f) not list prohibited, counterfeit, or infringing products; (g) respond to Buyer inquiries and after-sales requests within the required timeframe; and (h) comply with all applicable laws including consumer protection, data privacy, and tax regulations.
When a Buyer places an Order, it constitutes an offer to purchase. The contract between Buyer and Seller is formed when the Seller confirms the Order or ships the products, whichever occurs first. Order confirmation by the Platform does not constitute acceptance of the offer. The Platform reserves the right to cancel any Order at its discretion, including but not limited to Orders involving pricing errors, suspected fraud, or inventory unavailability. All prices are listed in U.S. Dollars (USD) unless explicitly stated otherwise.
Product prices are determined by Sellers and may include applicable taxes as indicated. The total Order amount includes the product price, shipping fees, and any applicable taxes or duties. Buyers must complete payment through the Platform's approved payment methods. Payment processing is handled by third-party payment service providers, including Airwallex. By making a payment, you agree to the payment processor's terms and conditions. The Platform may hold funds in escrow until Order fulfillment is confirmed in accordance with our payment protection policies.
Shipping methods, costs, and delivery timeframes are as described in our Shipping & Refund Policy, which is incorporated by reference into these Terms. Sellers are responsible for shipping products in accordance with the shipping method selected by the Buyer. Risk of loss and title for products pass to the Buyer upon delivery to the carrier, unless otherwise specified. Buyers are responsible for any customs duties, import taxes, or additional charges imposed by the destination country.
All content on the Platform, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the overall design and layout of the Platform (collectively, "Platform Content"), is the exclusive property of Domi or its content suppliers and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any Platform Content without our prior written consent. Product images and descriptions uploaded by Sellers remain the intellectual property of the respective Sellers.
By submitting content to the Platform (including product reviews, messages, images, and other materials), you grant Domi a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, and display such content in connection with the Platform's operation. You represent that you have all necessary rights to the content you submit and that it does not infringe any third-party rights. We reserve the right to remove any user content at our sole discretion.
You agree not to: (a) use the Platform for any unlawful purpose; (b) violate any applicable laws or regulations; (c) infringe upon our intellectual property rights or the rights of others; (d) submit false or misleading information; (e) upload or transmit viruses or malicious code; (f) engage in any activity that interferes with or disrupts the Platform; (g) circumvent any security features or access controls; (h) use any automated means (bots, scrapers, crawlers) to access the Platform without authorization; (i) collect or harvest user information without consent; or (j) engage in any form of market manipulation, including fake Orders or reviews.
To the fullest extent permitted by applicable law, Domi and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from: (a) your use or inability to use the Platform; (b) any conduct or content of any third party on the Platform; (c) any products purchased or transactions conducted through the Platform; or (d) unauthorized access, use, or alteration of your transmissions or content. In no event shall Domi's total liability exceed the greater of: (i) the fees paid by you to Domi in the twelve (12) months preceding the claim, or (ii) one hundred U.S. dollars (USD $100).
You agree to indemnify, defend, and hold harmless Domi and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; (d) any products you list, sell, or purchase through the Platform; or (e) your breach of any applicable laws or regulations.
We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason, including but not limited to: (a) breach of these Terms; (b) fraudulent or illegal activity; (c) extended account inactivity; (d) failure to fulfill Buyer Orders as a Seller; or (e) payment defaults or chargebacks. Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People's Republic of China, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Platform shall first be attempted to be resolved through good-faith negotiations between the parties. If the dispute cannot be resolved within thirty (30) days, either party may submit the dispute to binding arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) in accordance with its rules. The arbitration shall be conducted in English and take place in Hong Kong.
We reserve the right to modify or replace these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Platform and updating the "Last Updated" date. Your continued use of the Platform after any changes constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Platform. We encourage you to review these Terms periodically for any changes.
